財務データが揃わず、性格の分類はしていない
単一の事業に絞る競合と違い、燃料、都市ガス、鉄道物流、潤滑油という性質の異なる事業を一つの持株会社の傘の下に集める。2022年に取得した資源大手株を2025年までにほぼ売り切るなど、投資先の入れ替えを厭わない機動的な資本配分がうかがえる。
傘下に複数の事業会社を持ち、それぞれの利益を配当や持分法で吸い上げて稼ぐ持株の構造。もとはサトウキビの製糖とエタノールだけの会社だった。2008年に米石油大手のブラジル資産を買収したのを機に、鉄道で穀物を港へ運ぶ物流や農地の管理へ広がる。2011年には砂糖・エタノールと燃料流通の事業を、石油メジャーとの折半出資に切り出した。都市ガスの配給や潤滑油の製造も傘下に加わっている。
性質の違う事業を一つの持株会社に束ねる分、どの事業が不調かが外から見えにくく、株式市場での評価も割り引かれやすい。借り入れで拡大してきたため金利上昇の負担が重く、傘下企業の株式を銀行に優先株として引き受けさせた結果、配当の優先順位も複雑になっている。
配当を続ける一方、傘下の複雑な株式構成(一部子会社の優先株を大手銀行に引き受けさせる形)を保ったまま、重い借り入れの返済と事業の入れ替えを進める経営。
収益は傘下の各事業がそれぞれ稼ぐかどうかと、ブラジルの景気や農作物の出来、そして重ねてきた借り入れの返済負担に左右される。傘下企業の株式の一部を銀行に優先株として引き受けさせてきた経緯もあり、その配当優先権も収益の分配に影響する。
Cosan の始まりは、1936年にブラジル・サンパウロ州で操業したサトウキビの製糖工場だった。そこから90年近くをかけて、鉄道物流、都市ガス、燃料の流通、潤滑油と、性質の異なる事業を次々と傘下に収める持株会社へ姿を変えてきた。
2022年には資源大手の株式を取得したものの、2025年までにその大半を売り切るなど、投資先の入れ替えに躊躇がない。傘下企業の株式の一部は大手銀行が優先株で引き受けており、配当の受け取り順位まで込みで資本構成が入り組んでいる。性質の違う事業を一つの傘に束ねる分、外から価値を測りにくい。
